Cadie Pty Ltd (“Cadie”, “we”, “our”, “us”) provides the Cadie Subscription, a software-as-a-service platform that helps organisations manage governance, risk and compliance, including AI-generated recommendations, summaries, reports and insights (the “Service”). Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-transferable, non-exclusive right to access and use the Service for your internal business purposes during your subscription term. Cadie retains ownership of the Service and all underlying technology.
If you’re accessing the Service under a free trial, section 2 (Trial Terms) also applies and takes priority over anything in these Terms that’s inconsistent with it.
If you sign up for a free trial of the Service (a “Trial”), the following applies in addition to, and where inconsistent takes priority over, the rest of these Terms.
Trial period. Your Trial runs for the period stated when you sign up (currently 30 days) from the date you activate it.
No charge during the Trial. We don’t collect credit card or other payment details as part of Trial sign-up, so nothing is charged during the Trial and it doesn’t automatically convert into a paid subscription when it ends. If you’d like to keep using the Service after your Trial, you’ll need to choose a paid plan separately.
Trial scope. A Trial gives a single user access to a limited version of the Service, including a limited allocation of AI Credits, as described on our pricing page. Some features available on paid plans may not be available during a Trial, and we may change Trial features at any time.
Ending your Trial. We may suspend or end your Trial at any time, including if we reasonably believe you’ve breached these Terms or misused the Service (see section 15, Suspension and Termination).
Your data after the Trial. If you don’t move to a paid subscription, we may delete the data you uploaded during your Trial 30 days after the Trial ends.
No warranty during the Trial. A Trial is provided on an “as is” basis with no availability or service level commitment; section 13 (Warranties and Liability) applies to your use of it.
You’re responsible for maintaining the security of your account login details and for all activity that occurs under your account, whether or not you authorised it. You must only allow authorised users to access the Service, and you must tell us as soon as possible if you suspect unauthorised access to your account.
You own the data you upload to the Service (“Your Data”). By uploading Your Data, you grant Cadie the right to host, process, analyse and otherwise use it to provide and improve the Service. You warrant that you have the right to upload Your Data and that doing so doesn’t infringe any third party’s rights or breach any law. Cadie isn’t responsible for the accuracy, legality or completeness of Your Data. We recommend you don’t upload sensitive information or personal information unless it’s necessary for using the Service.
You must not: copy, modify or reverse-engineer the Service; use the Service to build a competing product; interfere with the security or operation of the Service; introduce malware or other harmful code; resell, sublicense or otherwise make the Service available to third parties; or use the Service for any unlawful purpose. We may suspend your access if we reasonably believe you’ve breached this section.
Outputs generated by the Service’s AI features (including recommendations, summaries, reports and insights) may contain errors or be incomplete, and aren’t a substitute for professional advice. A suitably qualified person within your organisation must review AI-generated output before you rely on it, and you remain solely responsible for any decisions you make based on it.
If you’re on a free trial, no fees apply for the trial period (currently 30 days) — since we don’t collect payment details at trial sign-up, your trial doesn’t automatically convert into a paid subscription (see section 2, Trial Terms). The following applies once you’re on a paid subscription.
Fees are payable in advance and, except as required by law, are non-refundable and exclusive of taxes. Your subscription automatically renews unless you cancel before the renewal date. We may change our pricing effective from your next renewal, and we’ll give you reasonable notice before we do. If fees remain unpaid, we may suspend or terminate your access to the Service.
We don’t guarantee the Service will be available at all times. We provide support during business hours (Melbourne, Australia), including during a free trial. Support doesn’t include consulting, implementation services, custom development or regulatory advice.
Cadie owns all intellectual property in the Service, including our software, algorithms, AI models and documentation. If you give us feedback about the Service, you agree we can use it without restriction or any obligation to compensate you.
Each party agrees to keep the other’s confidential information confidential. We handle personal information in accordance with our Privacy Policy. You’re responsible for ensuring you have the right to upload any personal information to the Service.
We use commercially reasonable measures to protect the Service and Your Data, but we can’t guarantee the Service will be immune from unauthorised access or attack.
The Service may interact with, or rely on, third-party products or services. We’re not responsible for the availability, performance, data handling or terms of any third-party service.
The Service is provided “as is” and “as available”, without warranties of any kind except those that can’t be excluded by law (including your rights under the Australian Consumer Law). To the extent permitted by law, our total liability arising out of or in connection with these Terms is limited to the fees you paid us in the 12 months before the claim arose, and we exclude liability for indirect or consequential loss.
You indemnify Cadie against claims, losses or costs arising from Your Data, your unlawful use of the Service, your breach of these Terms, or decisions made based on AI-generated output.
We may suspend your access to the Service if we reasonably believe it’s necessary for security reasons, to prevent misuse, or because of non-payment on a paid subscription. If you’re on a free trial, we may also suspend or end your access at any time at our discretion, including for misuse (see section 2, Trial Terms).
We may terminate these Terms if you materially breach them and don’t fix the breach within 30 days of us telling you about it, or immediately if you engage in unlawful use, fraud, become insolvent, or fail to pay fees when due on a paid subscription. Any unpaid fees become immediately due on termination.
We may modify or discontinue features of the Service, provided we don’t materially reduce the functionality you’ve paid for. We may also update these Terms from time to time; your continued use of the Service after an update means you accept the changes.
These Terms are governed by the laws of Victoria, Australia, and you submit to the exclusive jurisdiction of its courts.
